End User License Agreement

This End User License Agreement (the “Agreement”) is entered into between Sebastian Kraus, Erasmus-Widmann-Str. 31, 97990 Weikersheim, Germany (the “Provider”, “we”, “us”) and you, the end user (the “End User”, “you”), and governs your access to and use of the TopicLoops platform (the “Platform”). By accessing or using the Platform you agree to be bound by this Agreement. If you do not agree, you must not use the Platform.
1. Accounts and eligibility
You must be at least 18 years old to create an account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date. Notify us immediately of any unauthorised use of your account.
2. License
Subject to your compliance with this Agreement, the Provider grants you a non-exclusive, non-transferable, revocable license to access and use the Platform for your own internal purposes. The End User may export the deliverables generated on the Platform in CSV or PNG format.
3. Payment and subscriptions
- Payments are processed through Paddle.com.
- Subscriptions renew automatically on a monthly or annual basis unless cancelled before the start of the next billing period.
- Fees are non-refundable except where expressly stated or required by mandatory law.
- Unused credit allocations at the end of each billing period will not be carried over.
- If a payment fails, we may retry it and may suspend your access if it remains unpaid after our retry attempts.
4. Service availability
We aim for 95% availability of the Platform during normal business hours but do not guarantee that the Platform will be uninterrupted or error-free. The Platform is provided “as is” and “as available”, without warranties of any kind regarding the accuracy, reliability or completeness of any content generated by the Platform.
5. Acceptable use
You agree not to:
- reverse-engineer, decompile or otherwise attempt to derive the source code of the Platform;
- share your login credentials or allow others to use your account;
- use the Platform to build or assist in building a competing product or service;
- use the Platform for any unlawful purpose;
- transmit malicious code or otherwise interfere with the Platform;
- scrape, harvest or extract data from the Platform's systems by unauthorised means.
6. Intellectual property
The Provider retains all right, title and interest in and to the Platform, including all software, design and content, excluding the deliverables you generate for your own use. Nothing in this Agreement transfers ownership of the Platform to you.
7. Limitation of liability
To the extent permitted by law, the Provider's total aggregate liability arising out of or in connection with this Agreement is limited to EUR 500 for free accounts, or to the fees paid by you in the twelve (12) months preceding the event giving rise to the claim for paid accounts. The Provider is not liable for indirect, incidental or consequential damages. Mandatory statutory liability (including for intent, gross negligence and injury to life, body or health) remains unaffected.
8. Term and termination
Either party may terminate this Agreement with written notice effective at the end of the then-current billing period. We may terminate or suspend your access immediately in the event of a material breach of this Agreement or your insolvency. Consumers may have a statutory right to cancel within fourteen (14) days of purchase in accordance with applicable law.
9. Governing law and jurisdiction
This Agreement is governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. To the extent permitted by law, the courts competent for the Provider's registered seat shall have exclusive jurisdiction over any disputes arising out of or in connection with this Agreement.
